Welcome to EDUREPUBLIC (“Company,” “we,” “our,” “us”) . By accessing or using our website, platform, products, or services, including our academy, co-work space, cafeteria, content creation studio, or rental services (collectively, the “Services”), you agree to these Terms of Use (“Terms”).

The terms “platform”, “service(s)”, “solution” refer to the website and/or mobile application through which users access our services.

This service is offered by Edurepublic Limited, a company in Nigeria and the terms “Edurepublic” “we”, “us” and “our” refer to the company. “You”, “your” refer to you, as a user using our service.

Our innovative platform is built on cutting-edge technology that ensures the highest level of security and reliability, we use state-of-the-art encryption to protect your personal and financial information.

These Terms of Use govern your use of the services provided by Edurepublic Limited through its platform, (insert name of website/app).   • EdTech Users (Students/Learners): Must be at least 13 (with parental consent if under 18).
  • Educators/Facilitators: Must have proper qualifications or approvals where required.
  • Community Members: Must be at least 18 to access physical spaces (co-working, cafeteria, rentals).
  • Event/Rental Clients: Must comply with facility use policies and sign rental agreements where applicable.
  1. Services We Provide

EDUREPUBLIC provides a blended ecosystem of digital and physical offerings, including:

  • EdTech Services: Physical and Online academy, courses, learning management system (LMS), teacher/educator resources, educational content.
  • Community Services: co-working facilities, collaboration hubs, cafeteria, community events, networking programs.
  • Digital Services: access to our website, memberships, subscriptions, content library, newsletters, communication tools.
  • Physical Services: use of facilities (co-work desks, event space, studio, cafeteria), space rentals, and creative resources.

Each category may have specific rules, pricing, and eligibility, which form part of these Terms.

  • While we take reasonable steps to ensure the smooth functioning of our platform, we do not guarantee uninterrupted, error-free services and will not be liable for any loss or damage arising from any service interruptions or errors. You acknowledge that there may be instances where an application/transaction may fail or be delayed due to reasons such as network connectivity issues, system maintenance, or technical glitches. We will not be liable for any loss or damage resulting from such failures or delays.
  • By using our services, you agree to accept any risks associated with the use of our services, and you agree to hold Edurepublic Limited, our affiliates, and respective officers, directors, employees, and agents harmless from any loss or damage resulting from any interruptions or errors. You further acknowledge that the success of any application on our platform is dependent on various factors beyond our control network connectivity issues, system maintenance, or technical glitches.
  1. User Responsibilities

By using our Services, you agree to:

  • Provide accurate, updated information during registration/sign-ups.
  • Maintain the confidentiality of your login details.
  • Use our Services only for lawful, educational, creative, or collaborative purposes.
  • Respect the community and refrain from harassment, abuse, or misuse of facilities.
  • Not infringe intellectual property rights or misuse our content/resources, third-party resources, peer contributions
  • Follow health, safety, and security rules in our physical facilities.
  • Not misuse facilities for illegal, offensive, fraudulent or dangerous activities. We reserve the right to investigate and report any suspected illegal or fraudulent activities to the relevant authorities, and to take any actions necessary to protect our platform and users.

In the event that you encounter any issues or problems with our services, please contact our customer support team for assistance, while they make reasonable efforts to resolve any issues as quickly and efficiently as possible.

  1. Payments, Memberships & Refunds
  • Some Services (academy courses, co-working passes, rentals) may require payment or subscription.
  • You are responsible for safeguarding your login credentials.
  • By making a payment, you agree to our pricing, refund, and cancellation policies as displayed on our website or communicated during sign-up.            
  • Memberships or subscriptions (digital or physical) are non-transferable.
  • Breach of Terms may lead to suspension or termination of accounts.
  • Certain Services (courses, co-working, rentals, events) require fees.
  • Payment must be made in advance using approved methods.
  • Refunds/cancellations follow the policy displayed at the time of purchase.
  • We reserve the right to change pricing with notice.
  1. Intellectual Property
  • All content (courses, training materials, designs, logos, videos, media, trademarks and resources) belongs to EDUREPUBLIC or our licensors.
  • You may use content for personal non-commercial educational purposes only.
  • You may not reproduce, resell, modify or redistribute without prior written consent.
  • User-generated content (assignments, projects, creative works) remains yours, but you grant us a license to use it for academic, promotional, or collaborative purposes (unless you opt out).
  1. Community Standards
  • By using our services, you agree to comply with our Terms of Service and refrain from using Edurepublic Ltd for any illegal, fraudulent, or unauthorized purpose.
  • Respectful collaboration is at the core of our mission. We take the security and integrity of services very seriously, and expect users to do the same
  • We reserve the right to suspend or terminate accounts or deny facility use if community rules are violated (including disruptive behavior, misuse of space, harassment, or illegal activities).
  • Respect shared spaces (co-work, cafeteria, rentals).
  • Follow facility rules (cleanliness, safety, noise control, proper use of equipment).
  • Prohibited activities: illegal activities, fraud, No-alcohol/drug , No-smoking, harassment, property damage or unauthorized purpose are not allowed.
  • Event/rental clients must sign specific rental agreements outlining liability, insurance, and usage.
  • In addition, you agree not to engage in any conduct that could damage, disable, overburden, or impair our services. This includes any attempt to gain unauthorized access to our systems or networks, or to interfere with the operation of our services in any way.
  • We reserve the right to investigate any suspected violation of our Terms of Service and to take appropriate action, including suspension or termination of your account, if determined that you have violated our policies. We reserve the right to cooperate with law enforcement authorities and other third parties to investigate and prosecute any illegal or fraudulent activities on our platform without recourse to the affected user.

  1. Third-Party Services
  • We may integrate or partner with third-party tools/platforms (payment processors/gateways, LMS providers, Communication platforms, learning tools, event organizers etc). We are not responsible for their actions, content, terms or policies.
  • Please note, our third-party payment processor is responsible for processing all payments initiated by users. As such, we do not have direct control over the third-party payment process and cannot be held liable for any issues or errors that may occur during the third-party payment process. However, we are committed to providing a seamless and hassle-free experience for users and will do our best to resolve any issues or concerns that may arise.   1. Limitation of Liability/Disclaimer of Warranties
  • Kindly note that our platform is provided on an “as is” and “as available” basis, without any express or implied representation or warranty regarding its availability, reliability, or suitability for any particular purpose.
  • We are not liable for direct, indirect, or consequential damages arising from use of our Services, except where required by law.
  • While we strive to ensure that our platform is available at all times, We do not guarantee uninterrupted availability or error-free content.
  • Physical services are used at your own risk. We are not liable for lost property, injuries caused by negligence, or third-party acts.
  • To further clarify, our liability to you for any claim arising from or related to these Terms of Service or your use of our platform will be limited to the amount of fees paid by you in connection with your use of our platform during the six months preceding the claim, regardless of the legal theory under which the claim is made. This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not have been advised of the possibility of such damages.
  • You acknowledge and agree that the limitations of liability and disclaimers of warranties in these Terms of Service are a fundamental part of the basis of the bargain between you and (Edurepublic), and that we would not be able to provide our platform on an economically feasible basis without such limitations.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM OUR SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
  1. Termination
  • We may suspend or terminate access to Services if you breach these Terms. You may also terminate your use at any time.
  1. Governing Law
  • These Terms are governed by the laws of Nigeria. Any disputes shall be resolved in the Nigerian courts of law.

Legal Disputes

We shall make an effort to settle all disputes amicably. Any dispute arising out of these Terms which is not settled by mutual agreement/negotiation within 2 (two) weeks shall be referred to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse (“LMDC”) and governed by the Lagos State Arbitration Law 2009 (as may be amended from time to time). The arbitrator shall be appointed by both of us (we and you), where both of us are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LMDC. The findings of the arbitrator and subsequent award shall be binding on both of us. Each of us shall bear our respective costs in connection with the Arbitration. Venue for the arbitration shall be Lagos, Nigeria.

  1. Changes
  • We may update these Terms from time to time. Updates will be posted on our website with the effective date. Continued use means you accept the updated Terms.

13    Entire Agreement:

  1. These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and us, governing your use of our services, and supersede all prior or contemporaneous understandings, representations, or agreements, whether oral or written, between you and us relating to our services.

14    Waiver and Severability

  1. In the event that we fail to enforce any right or provision of these Terms of Service, it does not waive our right to enforce such provision or any other provision in the future.
  2. If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the parties agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service shall remain in full force and effect.

15    Modifications:

  1. We may modify or replace these Terms of Service at any time, at our sole discretion. We will notify you of any material changes by posting the updated Terms of Service on our website or by email.
  2. The date of the last revision will be indicated at the top of the page. It is your responsibility to review the updated Terms of Service. Your continued use of our services after the effective date of the updated Terms of Service, constitutes your acceptance of the updated terms.
  3. If you do not agree with the updated Terms of Service, you may terminate this Agreement by providing us with a written notice.
